These Terms of Use ("Terms") govern your access to and use of oneconstraint.com and related online services provided by OnPath LLC d/b/a One Constraint. By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement. The website is intended primarily for business and professional use.
2. Website and Services
The website provides information about One Constraint, business assessments, AI-assisted X-Ray reports, consulting services, forms, scheduling, payment options, newsletters, chat, text messaging, and related resources.
3. No User Accounts
The website currently does not require users to create accounts. If accounts or portals are introduced, additional terms may apply.
4. Forms, Assessments, and Submitted Information
You agree to provide information that is accurate, complete, current, and that you are authorized to provide. You retain ownership of your submitted materials, but grant us a non-exclusive license to use, reproduce, analyze, transform, and process them as reasonably necessary to respond to you, perform assessments, provide services, improve our workflows, secure systems, and comply with law.
Do not submit passwords, government identification numbers, regulated health information, highly sensitive personal information, trade secrets of others, or information you lack authority to disclose unless we have expressly agreed in writing to receive and protect it.
5. AI-Assisted X-Ray Reports and Deliverables
You acknowledge that artificial intelligence may be used to generate, summarize, analyze, or draft reports and other deliverables. AI outputs can contain errors, omissions, outdated information, or unsupported conclusions. Human review may be applied, but you remain responsible for evaluating recommendations and deciding whether and how to act.
Outputs depend on the accuracy, completeness, and context of information supplied. They are not guarantees of performance and are not substitutes for legal, tax, accounting, investment, cybersecurity, human-resources, or other licensed professional advice.
6. Purchases and Stripe
Payments may be processed by Stripe or another third-party processor. By purchasing, you authorize the applicable charges and agree to provide accurate billing information. The processor may apply its own terms and privacy notice.
Prices, deliverables, payment timing, taxes, cancellation terms, and refund terms may be stated on the checkout page, proposal, statement of work, or separate agreement. If those terms conflict with these Terms, the more specific written agreement controls.
7. Bookings and Cancellations
Scheduling tools are provided for convenience. You agree to provide accurate contact details and reasonable notice of cancellation. Separate engagement terms may specify rescheduling, cancellation, or no-show charges.
8. Email and Electronic Communications
By submitting contact information or subscribing, you consent to receive communications consistent with the selections you make and applicable law. You may unsubscribe from marketing emails at any time. Transactional and legal notices may be provided electronically.
9. SMS/Text Messaging Terms
9.1 Sender and Program Identity
Text messages are sent by OnPath LLC d/b/a One Constraint.
Depending on the consent you provide, messages may include customer-care responses, inquiry follow-up, appointment coordination, support, service updates, and other non-marketing communications connected to your interaction with One Constraint.
If you separately opt in to marketing text messages, you may also receive promotional messages about One Constraint services, invitations, offers, or business updates.
9.2 Separate and Optional Consent
Providing a phone number does not by itself mean you consent to receive SMS messages.
SMS consent is optional and is not a condition of purchasing any product or service. Where both marketing and non-marketing SMS are offered, they will be presented as separate choices.
9.3 Message Frequency and Charges
Message frequency may vary based on your interaction with us and the type of consent you provide.
Message and data rates may apply for messages sent to you from us and for messages you send to us. Contact your wireless carrier if you have questions about your text or data plan.
9.4 Opt Out
You may cancel SMS messages at any time by replying STOP.
After we receive a STOP request, we may send a confirmation message. After that, you will no longer receive messages covered by that opt-out unless you later opt in again through an approved consent method.

9.6 Carrier Liability
Carriers are not liable for delayed or undelivered messages.

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Text-messaging originator opt-in data and consent will not be shared with third parties for their own marketing purposes.
10. Testimonials, Logos, and Feedback
We will seek appropriate authorization before using a client name, logo, testimonial, or identifiable case study. Testimonials reflect individual experiences and do not guarantee results. You may not submit false, misleading, fabricated, or AI-generated endorsements presented as genuine customer experience.
If you provide suggestions or feedback, you grant us a non-exclusive, worldwide, royalty-free right to use it without restriction, provided we do not publicly identify you without permission.
11. Intellectual Property
The website, trademarks, branding, text, graphics, methodologies, questionnaires, reports, templates, software, and other content are owned by or licensed to One Constraint and are protected by intellectual-property laws.
Except as expressly permitted, you may not copy, reproduce, distribute, modify, reverse engineer, scrape, sell, license, or create derivative works from the website or content.
12. Prohibited Conduct
You may not:
- Use the website unlawfully, fraudulently, or to infringe another person’s rights.
- Attempt to gain unauthorized access, interfere with security, introduce malware, or overload the website.

14. Professional and Business Disclaimer
Website content and free assessments are general informational tools. No attorney-client, accountant-client, fiduciary, employment, partnership, joint venture, or other professional relationship is created merely by using the website or receiving preliminary information. A consulting relationship arises only through a signed agreement or other express written acceptance.
15. No Guarantees
Business outcomes depend on many factors outside our control. We do not guarantee revenue, profit, savings, financing, valuation, growth, operational improvement, implementation success, or any other result. Estimates, forecasts, benchmarks, and case studies are illustrative and may not reflect your circumstances.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, OR SECURITY.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONE CONSTRAINT AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM THE WEBSITE OR THESE TERMS.
OUR TOTAL LIABILITY ARISING FROM THE WEBSITE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US FOR THE WEBSITE-RELATED SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless One Constraint and its personnel from claims, losses, liabilities, and expenses arising from your unlawful use of the website, your submitted information, your violation of these Terms, or your infringement of another person’s rights.
19. Suspension and Termination
We may restrict or terminate access to the website if we reasonably believe you violated these Terms, created risk, or used the website unlawfully. Sections intended by their nature to survive will survive termination.
20. Governing Law and Venue
These Terms are governed by Nevada law, without regard to conflict-of-law principles. Except where consumer law requires otherwise, disputes relating to the website will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction.
21. International Use
You are responsible for complying with laws applicable where you access the website. Nothing in these Terms limits rights that cannot lawfully be waived under applicable consumer or data-protection law.
22. Changes
We may update these Terms by posting a revised version and effective date. Continued use after the effective date constitutes acceptance to the extent permitted by law. Material changes may receive additional notice.
23. General Terms
If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver.
These Terms, together with referenced policies and any specific written agreement, constitute the entire agreement concerning the website. You may not assign these Terms without our consent; we may assign them in connection with a business transaction.
